Is B860 Motherboard with 12+1+2 Vrm Phase enough for Ultra 7 265K? I don't have budget for Z series motherboard and don't want overclock my cpu, "Some people's Said to me, My cpu will face some issues like throttle due to heat issues or maybe the cpu will burn, is it real?"

The Ultra 7 265K will work perfectly OK with a B860 motherboard. Like all K processors it does not come with a cooler. So the choice of cooler is up to you. Buy the best that your budget allows, a 120mm tower cooler as a minimum. Cases with plenty of fans help keep all components in the system cooler. There should be no issue with CPU temperatures in normal use including gaming.
