Upgrade Pentium D 925 to newer Pentium E6300?

First up is it possible given I have a server chipset based mobo - chipset in 3000 series - in a Dell SC440

and lastly even if will run will I see any performance benefit given the mobo FSB is 800MHz so will be underclocking?
