Should S1200SPLR board work with Xeon E3 1246 v6 without any BIOS update?
Just bought this mb and cpu (both brand new), after assembly, all i can see is below error code:

Unfortunately dont have any other compatible processor, is there anything i can do ? or just send it back to shop?

Based on the error code I have checked at our website and the processor does not appear to be compatible with that specific motherboard, this can be verified in the following links, under compatible products:

Hi
I'm sorry, my fault Xeon E3 1246 v6 doesn't even exists, i misspelled processor details - (i've got E3 1246 v3 in other machine),
correct processor name- Xeon E3 1275 v6,
so that's configuration i've got:
Xeon E3 1275 v6 +S1200SPLR.
When machine is off, there are 2 green LED lighten up 3 and 0,
after power-on there is no video, there are 2 orange LEDs lighten up 7 and 5, all green LEDs are off

In this case based on the LEDs and information you shared it will be a good idea to test it out with another processor but since you do not have another one I will suggest you to return it. The LEDs are indicating an issue with the processor.

Actually,
could tell me which memory modules are compatible with S1200SPLR ?
I was told that this is proper module -https://www.samsung.com/semiconductor/dram/module/M391A2K43BB1-CRC/ M391A2K43BB1-CRC | Samsung Semiconductor Global Website
but after failure with already bought modules I'd like to double check this time.

The Samsung M391A2K43BB1-CRC is included in the tested list of memories. Bear in mind the memory controller is into the processor now and we always need to review the processor specifications.
