I see this in vmware and in bmc web console, should i be worried?

Although 3.196 volts is going slightly above to the point of triggering a warning on it (not critical, though), I'd say if the BIOS/firmware on your Intel® Server Board http://www.intel.com/p/en_US/support/highlights/server/sb-s1200bt S1200BTL is up-to-date (latest is https://downloadcenter.intel.com/Detail_Desc.aspx?DwnldID=24323 here), I'd recommend considering replacing the CMOS battery.
Note: "Vbat" refers to the board CMOS battery voltage.

I changed the battery and it didnt help, i will try to upgrade the bios and see if that helps.
