Update 11.1.038 error

After the announcement went out i clicked the link and went to the directory and downloaded a previous update.
During installation i realized this so i cancelled the update installation.
my prior version still works fine.
however, when i went and downloaded the correct update,11.1.038, and try to install, it gives an error that it cannot install to Program Files/Intel (see attached screen capture).
I've used properties to remove any 'read only' from all of program files/Intel.
I am THE administrator and/or have been updating/installing w/o any problems for years!
my system is XP Pro, Service pack 3, i am/was using visual studio 2003/2005.
But also took the time to download the studio 2008 install of the update and it still produces the error.

any ideas?

FYI, i have installed 11.1.038 to c:INTEL and only integrated it with VS 2008.
VS 2003 has prior versions and unless i have to rollback, things are moving forward.
If the installation folks can enlighten me as to the issue with the Program Files/INTEL directory and why it lets prior version be installed/deinstalled there but not 11.1.038, i'd appreciate it so i can regroup 11.1.038 to the normal installation directory.
in the meantime i am operational with 11.1.038.
