question about Intel Pentium D 965 EE 3.73Ghz processor

Hi guys, i just wanted to know if the Intel Pentium D 965EE processor compatible with the Intel D945GCFG1 mobo? because i tried putting one in and it didnt seem to boot up, the mobo light was on, but the led light on the power button is off. got 1gb graphics card, 1gb memory, the fans are working fine. no beeps or anything, im kinda wondering maybe the new processor that i got is defective?. would appreciate alot if someone could help thank you in advance.
