Hi. 

One of my Nios processors l am using for communication over Ethernet. The question is do i must use MicroC OS with NicheStack or enough to purchase NicheStack TCP/IP only and to use it without OS?

You can run the Niche stack without an OS, it is called "superloop mode". You need to patch a few things and it isn't officially supported by Altera. Have a look at that design example (http://www.nioswiki.com/index.php?title=exampledesigns/superloopsimplesocketserverplus&highlight=superloop).
